Feb 4 (Reuters) - Sanistaal A/S  SANI.CO : 
    * Enters into conditional agreement with Brødrene A & O Johansen A/S (A&O)  AOJp.CO  on sale 
of Sanistål's shares in A&O 
    * Transaction regards 223,005 preference shares each of nominal value 100 Danish crowns, 
corresponding to 39.12 percent of A&O's share capital 
    * Purchase price for A&O shares set at 401 million Danish crowns ($60 million)in cash
